Terms of Use

Prosocial Coding is an independent software studio that publishes information about:

• software applications and software assets
• acquisition and licensing opportunities
• advisory and implementation services
• custom software development
• AI training
• related technical and product work

The website is primarily an informational, evaluation, and business-inquiry site.

It is not:

• a software marketplace with self-service purchases
• a public source-code repository
• a customer account system
• a transaction-management platform
• an automated diligence room
• an automated NDA system
• a payment platform
• an emergency service
• a substitute for product-specific evaluation

Individual software applications described on the site may operate separately and may be subject to their own terms, policies, technical requirements, and limitations.

You may use the public website for lawful purposes such as:

• learning about Prosocial Coding
• reviewing public software information
• evaluating whether a product may fit your organization
• considering an acquisition or licensing discussion
• reviewing service and training offerings
• contacting PSC about legitimate business matters
• sharing or linking to public pages for legitimate informational purposes

Your use must comply with applicable law and these Terms.

You may not use the website to:

• interfere with or disrupt the website or its infrastructure
• attempt to bypass access restrictions or security controls
• probe, scan, or test nonpublic systems without authorization
• attempt to obtain credentials, secrets, private repositories, or nonpublic materials without permission
• submit malicious code, malware, or intentionally harmful content
• impersonate another person or organization
• submit information you do not have the right to provide
• use the Contact form for spam, harassment, fraud, or automated abuse
• use automated methods in a way that places an unreasonable load on the website or bypasses technical controls
• scrape or harvest nonpublic information
• remove copyright, attribution, trademark, or ownership notices from materials provided to you
• misrepresent PSC content, software, or materials as your own
• imply that PSC sponsors, endorses, certifies, or approves you or your organization when it does not

Ordinary browser features, accessibility technology, legitimate linking, and ordinary search-engine indexing are not prohibited by this section.

Security testing of PSC systems requires prior written authorization.

PSC publishes public information about software at different stages of development.

A product may be described as, for example:

• a proof of concept
• a working prototype
• a pilot candidate
• undergoing active hardening
• near production

Those descriptions refer to the product state represented by the relevant public materials. They are not promises that a product will reach a later stage or be suitable for every environment.

Product information may include:

• implemented capabilities
• representative interfaces
• architecture summaries
• current maturity
• known limitations
• intended users
• potential acquisition or licensing paths
• transfer information

Public descriptions should be read together with any limitations, maturity information, or other qualifications presented on the relevant product page.

A general statement elsewhere on the website does not override a product-specific limitation.

Screenshots, diagrams, interactive previews, interface samples, animations, and other visual materials may be used to explain a product.

Depending on the context, a visual may represent:

• an actual product interface
• representative application UI
• a technical diagram
• an illustrative workflow
• a design or product concept

A visual demonstration is not, by itself, a representation that the depicted feature is deployed in production, independently validated, or available without configuration.

Current product-specific documentation controls over assumptions based solely on an illustration.

Some products displayed by PSC remain under active development, testing, validation, hardening, or operational review.

Development-stage software may contain:

• defects
• incomplete workflows
• configuration dependencies
• external provider dependencies
• limitations not present in a mature production system

Do not deploy or rely on development-stage software in a consequential environment solely because it appears in the PSC portfolio.

Any decision to deploy, pilot, license, acquire, or operationalize a product should account for its current maturity, intended use, known limitations, configuration requirements, and operating environment.

Some portfolio applications may include or describe artificial-intelligence functionality or integrations with external model providers.

The PSC public website does not itself guarantee the accuracy, completeness, safety, or suitability of outputs generated by those separate systems.

AI systems can produce incomplete, incorrect, outdated, or contextually inappropriate results.

Any AI-enabled product should be evaluated according to:

• its product-specific documentation
• its current model and provider configuration
• its intended use
• its safeguards and human-review requirements
• its known limitations
• applicable organizational and legal requirements

AI output should not be treated as authoritative solely because it is fluent, confident, or generated by software.

PSC provides a public Contact form for acquisition, licensing, services, AI training, and general inquiries.

You are responsible for the information you submit.

Do not submit:

• confidential survivor information
• client or service-recipient records
• protected health information
• private case information
• detailed private legal information
• passwords
• API keys
• credentials
• payment-card information
• other sensitive personal or organizational information that is unnecessary for an initial inquiry

Submitting the form does not create a confidential relationship unless a separate agreement or applicable law provides otherwise.

The website requires a confirmation that the submission does not contain sensitive or confidential personal information.

The Contact workflow may use a third-party email-delivery provider.

A website confirmation means only that the configured provider accepted the inquiry for delivery.

It does not guarantee:

• final inbox delivery
• that PSC has read the message
• a response within a particular period
• acceptance of a project
• approval of an acquisition or license
• access to controlled materials
• creation of a contractual relationship

Any response-time language elsewhere on the site describes a typical operating practice, not a service-level guarantee.

Use of the website is also subject to the PSC Privacy Policy.

The Privacy Policy explains how the website processes Contact information, technical request information, local browser preferences, rate-limiting information, and information handled by relevant service providers.

Do not use these Terms to infer that a separately deployed PSC product follows the same data practices as the public PSC website.

PSC may choose to provide nonpublic technical, security, operational, commercial, intellectual-property, or product materials during a qualified review.

Separate confidentiality, review, or transaction terms may apply to those materials.

Access to nonpublic materials does not by itself grant:

• ownership
• redistribution rights
• publication rights
• commercialization rights
• permission to disclose source code
• permission to disclose security information
• permission to reuse proprietary product materials outside the approved review

Where a separate NDA, review agreement, license, purchase agreement, or other written agreement applies, that agreement controls the material within its scope.

Public statements that an asset may be available for acquisition or licensing are invitations to discuss a possible transaction.

They are not binding offers.

The exact rights available for any product depend on matters such as:

• the specific asset
• product maturity
• seller-created intellectual property
• third-party dependencies
• transferable rights
• external provider agreements
• trademarks and domains
• datasets and publications
• transition requirements
• support obligations
• negotiated commercial terms

Ownership or license rights transfer only under an applicable written agreement.

No intellectual-property rights transfer merely because you:

• visit the website
• review a product page
• submit an inquiry
• attend a demonstration
• participate in diligence
• receive documentation

PSC may describe categories of materials that are commonly relevant to a software transfer, including:

• application source
• workflows and product design
• tests
• CI or quality infrastructure
• documentation
• operating context
• transition materials

These descriptions are explanatory.

They are not a warranty that every listed item will transfer with every product.

Third-party software, open-source packages, datasets, publications, trademarks, domains, external services, provider agreements, accounts, credentials, and other third-party rights remain subject to separate review.

The final transfer scope is defined by the definitive written agreement.

Website descriptions of Advisory, Custom Build, AI Training, implementation work, or related services describe available categories of work.

They do not create an engagement.

An inquiry does not guarantee:

• availability
• a particular schedule
• a fixed scope
• a stated outcome
• a fixed price
• acceptance of the project

Where PSC and a customer choose to proceed, scope, deliverables, responsibilities, pricing, schedules, intellectual-property treatment, confidentiality, and other engagement terms should be established in an applicable written agreement.

That agreement controls the engagement within its scope.

Unless otherwise stated, the PSC website and original material created by PSC are protected by applicable intellectual-property laws.

PSC reserves its rights in material it owns or is authorized to use.

This may include original:

• website text
• software
• interface designs
• diagrams
• visual assets
• product documentation
• training materials
• workflows
• product names and branding

This does not mean that PSC owns every component displayed or referenced on the site.

Portfolio applications may incorporate:

• open-source software
• third-party libraries
• third-party services
• public records
• external datasets
• third-party documents
• trademarks or content owned by others

Those materials remain subject to their applicable rights and licenses.

Where an open-source license grants rights that differ from these Terms, the applicable open-source license controls the covered component.

You may access and use public PSC website content for lawful informational and evaluation purposes.

You may also make reasonable internal copies or excerpts needed to evaluate a potential product, service, license, or transaction, subject to applicable law.

This permission does not grant a right to:

• copy or distribute proprietary software source
• reproduce substantial portions of proprietary documentation for commercial reuse
• resell PSC content
• create unauthorized derivative commercial products from controlled materials
• falsely attribute PSC content to another source
• use PSC branding to imply an unauthorized affiliation

Nothing in these Terms restricts rights that cannot lawfully be restricted, including applicable rights of fair use or similar legal rights.

The website may reference or link to third-party software, websites, APIs, platforms, publications, data sources, or services.

Third parties operate under their own terms and privacy practices.

PSC does not control independent third-party services and does not guarantee their:

• availability
• accuracy
• security
• continued operation
• licensing terms
• compatibility

A reference or link does not automatically imply endorsement.

Third-party services used by PSC to operate the website may also be subject to separate provider agreements and privacy terms.

Prosocial Coding names, logos, and product identifiers may be trademarks, service marks, trade names, or other brand identifiers of PSC.

Third-party names and marks belong to their respective owners.

A reference to a third-party product or organization does not imply endorsement, sponsorship, ownership, or affiliation unless expressly stated.

Nothing on the website should be understood as claiming a federal trademark registration that does not exist.

You retain ownership of material that you own when you submit it to PSC.

If you voluntarily provide nonconfidential suggestions, comments, or feedback specifically about PSC products or services, PSC may consider and use that feedback to improve its work without an obligation to compensate you, unless a separate written agreement says otherwise.

Do not send proprietary ideas, trade secrets, confidential proposals, or third-party confidential information as casual feedback.

A business proposal or transaction discussion is not converted into unrestricted feedback merely because it is sent through Contact.

PSC may restrict access to the website, Contact functionality, controlled-review materials, or other PSC-controlled resources where reasonably necessary to address:

• abuse
• security threats
• unauthorized access attempts
• violations of these Terms
• legal requirements
• protection of confidential materials

PSC is not required to provide controlled-review access to any visitor.

Using the website, contacting PSC, participating in a review, or discussing a possible transaction does not by itself create a:

• partnership
• joint venture
• agency relationship
• employment relationship
• fiduciary relationship
• franchise
• exclusive negotiation arrangement

Any such relationship must arise from an appropriate written agreement.

If you contact PSC electronically, you agree that PSC may respond electronically regarding that inquiry.

Submitting a Contact inquiry does not, by itself, enroll you in a marketing mailing list.

PSC may modify, update, suspend, or discontinue portions of the public website.

Portfolio information may also change as products are developed, validated, hardened, transferred, licensed, or otherwise updated.

PSC should update material public claims when the underlying product state materially changes.

Website changes do not retroactively modify a signed agreement.

PSC may update these Terms from time to time.

The revision date at the top of this page will identify the current version.

Material changes apply prospectively from the effective date of the updated Terms unless applicable law provides otherwise.

Updated website Terms do not amend a separate signed agreement unless that agreement expressly provides for such a mechanism.

These Terms and disputes arising specifically from use of the public PSC website are governed by the laws of the State of Texas, without regard to conflict-of-law principles, except where applicable law requires otherwise.

Subject to any rights or venue requirements that cannot legally be waived, disputes concerning these Terms will be brought in the state or federal courts with jurisdiction in Travis County, Texas.

The parties consent to the jurisdiction of those courts for disputes properly subject to this section.

A separate written agreement may establish different dispute-resolution, governing-law, or venue terms for matters within that agreement's scope.

Nothing in these Terms is intended to waive rights, remedies, protections, or liabilities that applicable law does not permit the parties to waive.

If a provision of these Terms conflicts with mandatory law, that law controls to the extent of the conflict.

If a court with authority determines that part of these Terms is invalid or unenforceable, the remaining provisions remain in effect to the extent permitted by law.

The affected provision should be interpreted or limited as closely as legally possible to its intended purpose.

If PSC does not immediately enforce a provision of these Terms, that does not permanently waive the right to enforce that provision later.

You may not transfer your rights under these Terms in a way that imposes new obligations on PSC without PSC's consent.

PSC may transfer its rights and obligations relating to the website as part of a merger, acquisition, reorganization, sale of relevant assets, or similar business transition, subject to applicable law.

These Terms govern use of the public PSC website.

They do not replace a separate:

• nondisclosure agreement
• evaluation agreement
• software license
• asset-purchase agreement
• services agreement
• statement of work
• support agreement
• data-processing agreement
• other signed agreement

Where a signed agreement conflicts with these Terms on a subject governed by that agreement, the signed agreement controls that subject.

Together with the Privacy Policy and any other policy expressly incorporated into these Terms, these Terms constitute the agreement between you and PSC concerning use of the public website.

They do not constitute the entire agreement for a separate software, service, license, acquisition, or controlled-review relationship.
